1. Вы писали в Вашем письме от 18.09.15:
5. THANH&Partners по доверенности от IEE будить заключать с Лисемко предварительный договор по платежу 1,8 млн со всеми связанными условиями включая договоренность пойти в VIAC. Этот договор будет прекратить действие после получения арбитражного решения признающее уже все его положения.

Означает ли это, что в арбитражном решении будут прописаны абсолютно все положения договора IEE-LISMECO?
Будет ли арбитражное решение VIAC на английском языке, чтобы не возникло сложностей с интерпретацией перевода на вьетнамский?



2. Просим Вас подготовить проект соглашения IEE-LISEMCO на следующих условиях:

Следующие контракты были заключены между IEE и LISEMCO:
158-1
158-2
158-3
158-5

Остатки авансовых платежей, полученных компанией LISEMCO от IEE составляют в настоящее время:
Контракт 158-2 – USD 3.025.262,86
Контракт 158-5 – USD 1.368.208,00 и USD 500.000,00

Стороны пришли к следующему соглашению:

Лисемко выплачивает IEE следующие суммы в качестве компенсации за авансы, переведенные по контрактам 158-2 и 158-5:
USD 1.200.000,00 – компенсация за полученные авансы в рамках контракта 158-2;
USD 600.000,00 – компенсация за полученные авансы в рамках контракта 158-5
Итого: USD 1.800.000,00

Прошу Вас постараться согласовать с Лисемко следующий график платежей:
USD 1.200.000 до 31.12.15
USD 600.000 до 31.01.16

По выполнении компанией ЛИСЕМКО обязательств по переводу вышеуказанных сумм в полном объеме, стороны считают расторгнутыми контракты
1) № 158-1 от 04 апреля 2011
2) № 158-2 от 04 апреля 2011
3) № 158-3 от 07 октября 2011
4) № 158-5 от 23 ноября 2012

Датой расторжения контрактов будет являться дата получения компанией IEE последней из сумм в рамках платежей компенсации, указанных выше.

По расторжении контрактов, стороны не будут иметь претензий друг к другу.

Настоящее соглашение является неотъемлемой частью контрактов

2) № 158-2 от 04 апреля 2011
3) № 158-3 от 07 октября 2011
4) № 158-5 от 23 ноября 2012

В случае нарушения условий настоящего соглашения компанией ЛИСЕМКО, действуют условия контракта 158-5 относительно права Покупателя предъявить требование оплаты по банковской гарантии No. 32136370002045 исполнения контракта, выданной BIDV банком, действующей до 31.03.16.

3. По поводу положения о праве предъявить к оплате банковскую гарантию.
Нам достоверно не известны размеры, очередность и срочность выполнения обязательств ЛИСЕМКО перед банками, налоговыми органами и другими организациями. В этой ситуации логично предположить, что в случае неисполнения компанией ЛИСЕМКО графика платежей исполнение арбитражного решения может не принести желаемые результаты.
Возможность предъявить к оплате банковскую гарантию может быть полезным с точки зрения получения в полном объеме согласованной суммы USD 1.800.000,-

4. Для того, чтобы иметь возможность обратиться в VIAC, наверно, необходимо заключить дополнительные соглашения ко всем перечисленным контрактам, в которых SIAC будет заменен на VIAC. Пожалуйста, прокомментируйте.
