d. заключать контракты/договоры, связанные с приобретением или продажей имущества, аренды, залога имущества, займа/кредита и совершать иные сделки стоимостью свыше 30 000 000 (тридцати миллионов) долларов США или ее эквивалента в другой валюте с предварительного письменного согласия Совета;
e. утверждать положения о деятельности и планы производственно-хозяйственной деятельности структурных подразделений, представительств и филиалов;
f. утверждать и издавать положения внутреннего управления «ВЬЕТСОВПЕТРО», за исключением положений, утверждение которых относится к компетенции Совета;
g. назначать и досрочно освобождать от должности руководящих работников «ВЬЕТСОВПЕТРО» на основании утвержденного штатного расписания «ВЬЕТСОВПЕТРО», за исключением тех должностей, принятие решения о назначении и освобождении которых входит в полномочия Совета;
h. утверждать штатное расписание «ВЬЕТСОВПЕТРО»;
i. определять формы и системы оплаты труда и материального поощрения для работников «ВЬЕТСОВПЕТРО»;
j. принимать на работу и увольнять работников «ВЬЕТСОВПЕТРО»;
k. направлять работников «ВЬЕТСОВПЕТРО» в командировки на территории СРВ и за границу;
l. другие права, предусмотренные Соглашением, настоящим Уставом, решениями Совета и законодательством СРВ.
11.8. Генеральный директор имеет следующие обязанности:
a. организовывать исполнение решений Совета;
b. организовывать выполнение плана производственно-хозяйственной деятельности и инвестиционных проектов «ВЬЕТСОВПЕТРО»;
c. подготавливать и представлять на рассмотрение Участникам предложения о стратегии развития и планах производственно-хозяйственной деятельности «ВЬЕТСОВПЕТРО»;
d. подготавливать и представлять на рассмотрение Участникам предложения о совершенствовании организационной структуры «ВЬЕТСОВПЕТРО»;
e. подготавливать и представлять Совету годовые производственно-хозяйственный и финансовый отчеты;
f. добросовестно исполнять свои обязанности с целью максимального обеспечения законных интересов «ВЬЕТСОВПЕТРО» и его Участников;
g. защищать интересы и деловую репутацию «ВЬЕТСОВПЕТРО» и его Участников, не разглашать конфиденциальную информацию, не злоупотреблять своим должностным положением и имуществом «ВЬЕТСОВПЕТРО» в своих личных интересах или в интересах третьих лиц;
h. представлять на рассмотрение Ревизионной комиссии все требуемые материалы, документы и создавать все необходимые условия для выполнения Ревизионной комиссией своих задач;
i. исполнять другие обязанности в соответствии с Соглашением, настоящим Уставом, решениями Совета и законодательством СРВ.

The Director-General has the following duties:a. organize the implementation of decisions of the Council;b. implementation of the plan to organize production and business activities and investment projects "Vietsovpetro";c. prepare and submit proposals to the participants about the development strategy and plans for production and business activities "Vietsovpetro";d. prepare and submit proposals for improving the participants of the organizational structure "Vietsovpetro";e. prepare and submit to the Board, annual production and the economic and financial reports;f. faithfully perform their duties with a view to maximize the legitimate interests of the "Vietsovpetro" and its participants;g. to protect the interests and reputation of "Vietsovpetro" and its participants not to disclose confidential information, do not abuse their official position and property "Vietsovpetro" for their own benefit or for the benefit of third parties;h. submit to the Audit Commission all necessary materials, documents, and create all the necessary conditions to carry out its tasks, the Audit Commission;i. perform other duties in accordance with the Agreement, the Charter, decisions of the Board and the laws of Vietnam.
