Совместное российско-вьетнамское предприятие «Вьетсовпетро» (далее «ВЬЕТСОВПЕТРО») было создано на основании Соглашения между Правительством Союза Советских Социалистических Республик и Правительством Социалистической Республики Вьетнам об учреждении Совместного советско-вьетнамского предприятия по проведению геологической разведки и добычи нефти и газа на континентальном шельфе юга СРВ, подписанного 19 июня 1981 года, и действует в соответствии с Соглашением между Правительством Российской Федерации и Правительством Социалистической Республики Вьетнам о дальнейшем сотрудничестве в области геологической разведки и добычи нефти и газа на континентальном шельфе Социалистической Республики Вьетнам в рамках Совместного российско-вьетнамского предприятия «Вьетсовпетро», подписанным 27 декабря 2010 года, (далее именуемое Соглашение), а также в соответствии с законодательством Социалистической Республики Вьетнам.

РАЗДЕЛ I. ОБЩИЕ ПОЛОЖЕНИЯ
Статья 1. ОСНОВНЫЕ ПОЛОЖЕНИЯ
«ВЬЕТСОВПЕТРО» является юридическим лицом СРВ.
В своей деятельности «ВЬЕТСОВПЕТРО» руководствуется Соглашением, межгосударственными и межправительственными договорами между Социалистической Республикой Вьетнам (СРВ) и Российской Федерацией (РФ), настоящим Уставом и законодательством Социалистической Республики Вьетнам.
«ВЬЕТСОВПЕТРО» имеет право от своего имени заключать договоры/ контракты, приобретать имущественные и личные неимущественные права и нести обязанности, быть истцом и ответчиком в суде, арбитражном и третейском суде.
Имущество «ВЬЕТСОВПЕТРО» не подлежит национализации.
Все геологические образцы, а также геологическая информация, полученная «ВЬЕТСОВПЕТРО» в районе его деятельности на территории СРВ, является собственностью СРВ. При этом «ВЬЕТСОВПЕТРО» и его Участники имеют право безвозмездно использовать указанные образцы и информацию в целях обеспечения деятельности «ВЬЕТСОВПЕТРО». Вывоз указанных образцов и информации за пределы СРВ оформляется в соответствии с законодательством СРВ.
Участники «ВЬЕТСОВПЕТРО» не могут передавать права на использование таких образцов и информации другим лицам без согласия их собственника и другого Участника.
Изобретения, «ноу-хау» и другие научно-технические достижения, полученные в области деятельности «ВЬЕТСОВПЕТРО», являются собственностью «ВЬЕТСОВПЕТРО». Регистрация и охрана авторских прав вышеуказанных открытий осуществляются по законодательству СРВ, при необходимости они могут быть зарегистрированы за рубежом в соответствии с законодательством этой страны. Использование этих достижений определяется и осуществляется по договоренности между Участниками «ВЬЕТСОВПЕТРО».
«ВЬЕТСОВПЕТРО» осуществляет свою деятельность на основании ежегодных производственных программ и финансовых планов, среднесрочных и долгосрочных планов, разработанных «ВЬЕТСОВПЕТРО» и утвержденных Советом «ВЬЕТСОВПЕТРО», а также других решений Совета «ВЬЕТСОВПЕТРО».
«ВЬЕТСОВПЕТРО» несет материальную ответственность по своим обязательствам в рамках принадлежащего ему имущества.
«ВЬЕТСОВПЕТРО» не несет материальную ответственность по обязательствам Участников «ВЬЕТСОВПЕТРО» (далее именуемые Участники). Участники не отвечают по обязательствам «ВЬЕТСОВПЕТРО», но несут риск убытков, связанных с деятельностью «ВЬЕТСОВПЕТРО», в пределах стоимости принадлежащих им долей в Уставном фонде «ВЬЕТСОВПЕТРО».
